Terms & Conditions for "Code4Bill" Contest
Following terms and conditions (the "Terms & Conditions") shall apply to the contest. For the purposes of these Terms and Conditions, the term Microsoft, when used with reference to a legal entity, shall mean Microsoft Corporation India Private Limited and include its Affiliates. An 'Affiliate' means any legal entity owned or controlled by Microsoft, which owns or controls Microsoft or which is under common ownership or control with Microsoft. The term 'ownership' means more than 50% direct or indirect ownership/shareholding and the term 'control' means direct or indirect control of the management or the board of directors.
The Contest and The Term
The contest is detailed below (the "Contest")
Stage I: The Contest registrations shall open on 1st of January 2006 and would comprise of three online technical challenges which shall be posted on the URL www.code4bill.com to be solved by the Participants. The first two rounds shall be qualifying rounds where all the Participants scoring above the cutoff marks move to the next round. The top 10% based on the cumulative scores at the end of round three shall move to the next stage.
Stage II: The top 10% Participants who successfully solve the series of online challenges in the 1st stage of the Contest shall now undergo face-to-face interviews with an interview panel comprising of Microsoft executives.
Stage III: The short listed twenty (20) Participants shall get an opportunity to intern with Microsoft India offices as per the terms and conditions of internship at Microsoft. During the internship, the Participants may be asked to design and code solutions for technical and, or, social problems. Based on the feedback from the Project Supervisor and the scores obtained post the final project presentation to an evaluation panel appointed by Microsoft, 5 of these twenty participants shall move to the last stage (stage IV). Microsoft shall have the right to film / print and post the making / output of these assignments, contest stages online, or on television or print.
Stage IV: In the final stage of the Contest, the top five (5) Participants will face a series of challenges administered/conceived by Bill Gates Technical Assistant. Based on the scores obtained at the end of this stage, one out of these 5 contestants shall be selected to work with Bill Gates technical team at Redmond, USA for a period of one year.
The Contest shall open on January 1, 2006 with registrations for the Contest open from January 1, 2006 till January 18, 2006. The top 20 Participants shall be announced by Microsoft by March 15 2006. Microsoft can curtail or extend the Contest duration, as it deems necessary.
The Contest is restricted to Indian students studying in India.
Eligibility Criteria
The following shall be eligible to participate in the Contest ("Participant")
a.  You are an Indian student studying in India.
b. You are in the final or pre-final year of a Bachelor’s degree program (all streams) in Engineering/Technology.
c. You are in the final or pre-final year of a Five-year Integrated Master's degree program or a Dual Degree program in Engineering/Technology.
d. If You already have a campus offer from Microsoft You are still eligible to participate in this Contest.
e. You will complete your graduation / dual degree latest by August 30th 2006 (for final year students) and August 30th 2007 (for pre final year students).
You will NOT be entitled to participate if:
a.  You are not one of the above (a, b, c, d, e).
b. You are not studying in India.
c. You are not a Student.
d. You are an employee or agent of Microsoft in India, or its parent company Microsoft Corporation, USA.
e. You are a relative of a Microsoft employee working on the Code4Bill project.
Participation Process
A Participant must ensure that his/her duly filled up valid entry form(s) is posted on the website on or before 24.00 Hrs on January 18 2006. Microsoft shall not be responsible for any transit losses of entry forms. An incomplete on-line registration by a Participant shall be rejected.
No participation or other fee is required to be paid for participating in the Contest.
The Participant agrees to provide Microsoft current, complete and accurate information. An incomplete form by a Participant shall be rejected.
Each Participant shall be entitled to submit only one (1) entry for registration for the Contest. Microsoft reserves the right to reject any entry form without assigning any reason thereof. Any decision taken in this regard shall be final and binding and not subject to any dispute or challenge.
The Participants hereby waive all rights and grant to Microsoft, a royalty-free, non-exclusive, perpetual worldwide license to use and distribute the information contained in the form and, or, any submissions made in response to the series of technical challenges, in any and all media and in any publication whether online, offline or on the Internet. Microsoft shall also be free to use any ideas, concepts, know-how or techniques contained in such submissions or materials for any purpose.
Microsoft does not make any commitment, express or implied, to respond to any feedback, suggestion and, or, queries of the Participants or furnish reasons for inclusion and, or, exclusion of any Participant at any stage of the Contest.
Microsoft may assign any or all of its rights under these Terms and Conditions to its Affiliates without consent of the Participants.
Conduct of Participants
Participation in the Contest shall be construed as an acceptance of the Terms and Conditions stipulated herein. Any breach or default by a Participant of any of the Terms and Conditions herein shall result in immediate disqualification without notice.
The Microsoft officials engaged in the organization and management of the Contest, including its directors, officers, partners, employees, consultants and agents are under no obligation to render any advice or service to any Participant in respect of the Contest.
Any attempt by a Participant to deliberately damage any website or undermine the legitimate operation of the Contest is a violation of Criminal and Civil Laws and should such an attempt be made, Microsoft reserves the right to seek damages from any such Participant to the fullest extent permitted by law.
Selection
The winner of the Contest ("Winner") shall get an opportunity to be a part of Bill Gates' Technical Assistance Team at Redmond for a period of one (1) year (subject to processing of a valid visa which the Winner has to apply for and obtain directly from the embassy of the United States of America in India) ("Prize"). The travel costs shall be borne by Microsoft along with a stipend to cover the living expenses of the Winner.
The selection of the Winner from amongst the Participants shall be done in the manner set forth at paragraph A 1 above.
The Winner shall have seven (7 days from date of notification of his/her selection to respond at the notified place. Failure to respond within this period shall result in forfeiture of the Prize.
The name of the Winner shall be announced through the site www.code4bill.com. The Winner shall also be informed by mail (e-mail or normal post). However, there shall be no liability on Microsoft in the event such mail does not reach the Winner on any account whatsoever.
The decision on the Winner selected by Microsoft shall be final and binding and no correspondence or communication shall be entertained in this regard.
Microsoft or its Affiliates shall be entitled to use, in any manner, the name, photographs and other details of the Winner or any other participating person, likeness and status in any publication. By participating in the Contest, all Participants hereby agree to the same. Microsoft may, at its discretion, choose not to disclose the identity of the Winner to other Participants.
The Winner should have successfully completing their graduation / post graduation latest by August 30, 2006 (final year students) and August 30, 2007 (pre-final year students).
Prize Conditions
The Prize shall neither be transferable nor exchangeable for cash or otherwise.
Since the Prize may involve travel, the Winner shall be responsible for procuring all applicable visa and other permissions required for travel.
Taxes and other levies imposed by any relevant applicable government or tax authority that may be levied or incurred on the Prize shall be fully borne by the Winner.
Disclaimer and Limitation of Liability
Subject to any applicable law:
All warranties of any kind whatsoever, whether express or implied, are hereby expressly disclaimed by Microsoft including, but not limited to, meeting of the Participant's requirements or aspirations, timeliness, security, the results or reliability of any Contest, or the delivery, quality, or non infringement in respect of any services, benefits or awards acquired or obtained through the Contest or any transactions effected through the Contest;
The Participant expressly agrees that his/her participation in the Contest offered by Microsoft is at the Participant's sole risk and is governed by the Terms and Conditions herein;
No advice or information whether by representations, oral, written or pictorial derived from the website or through the Contest shall be construed to mean the giving of any warranty of any kind by Microsoft; and
Participation or selection in the Contest or winning the Prize shall not be construed as an offer of employment with Microsoft.
Copyright
Nothing in the Contest shall affect any intellectual property rights of Microsoft in any product or service, which may be the subject matter of the Contest.
All perpetual and worldwide intellectual property rights, including any copyright in the applications developed by the Participants and, or, their submissions, feedback, material and the like shall be owned by Microsoft. Microsoft shall be entitled to exploit the same in any manner whatsoever.
Applicable Law and Dispute Resolution
The Contest shall be governed by and construed in accordance with the laws of India. Any disputes, differences and, or, any other matters in relation to and arising out of the Contest and, or, pertaining to the rules and regulations and, or, the Terms and Conditions shall be referred to arbitration under the Arbitration & Conciliation Act, 1996. The arbitral tribunal shall consist of a sole arbitrator to be appointed by Microsoft. The venue of arbitration shall be New Delhi.
Indemnification
The Participant undertakes to indemnify and keep Microsoft harmless and indemnified against any loss, damage, claims, costs and expenses which may be incurred or suffered by Microsoft due to breach of any Terms and Conditions contained herein by the Participant and, or, arising from the participation of the Participant in the Contest including any third party claims for infringement of intellectual property rights.
Modification or Withdrawal of Contest
In addition to these Terms and Conditions, other specific terms may be imposed by Microsoft any time to deal with any unforeseen situation. Microsoft also reserves the absolute right to change the Terms and Conditions contained herein and, or, any other rules and regulations in respect of the Contest at any time without any notice, without assigning any reason and without any liability whatsoever. Participants are requested to refer to such other terms and conditions, if any, which may be displayed on-line or intimated separately as Microsoft considers fit. However, no obligation is cast on Microsoft to separately intimate each individual Participant with regard to such additional terms and conditions.
Microsoft also reserves the right to withdraw the Contest at any stage without any liability whatsoever to the Participant and, or, anyone.
