These Terms and Conditions govern only the Australian stage of the Imagine Cup 2008 Software Design Challenge invitational, and the prize for that stage (‘Australian Software Design Challenge'). Information on how to enter and prizes form part of these Terms and Conditions.

Eligibility

1. The Australian Software Design Challenge is open only to teams of 1 to 4 (inclusive) full or part time undergraduate or post graduate students over the age of 18 years of age living in Australia who have been enrolled in study at any university or accredited higher education establishment in Australia (‘University’) at any time between January 1, 2007 and May 31, 2008, and who have registered at http://www.imaginecup.com by 23.59 (Sydney time), 29 May 2008 ('Eligible Teams').
2. Each Eligible Team entering the Software Design Challenge may have one Team Mentor over the age of 18 years. The Team Mentor can either be an academic mentor, sourced from the University members of the team attends, or an industry mentor, which can be provided by the Promoter or can be sourced by the team. The Team Mentor is not considered to be a team member, but will be flown to the finals with the team should the team be selected.
3. Employees of the Promoter or its affiliates, subsidiaries, advertising or promotional agencies are not eligible to enter the Australian Software Design Challenge nor are members of these employees' families (defined as parents, children, siblings, spouse and life partners). Microsoft Student Partners are eligible to enter.

How to Enter

4. All Eligible Teams must provide the following deliverables:

a) Mandatory Submissions

 •  One page executive summary
 •  Application executables and readme files
 •  Project specification, no more than 5 pages
 •  Visual representation of system architecture

b) Optional Submissions

 •  An application design proposal (optional submission 1) to be used for industry mentoring service and to reward entrants who start early on their project.
    Optional Submission 1 is due by 23.59 (Sydney time) on 10th January, 2007. All members of teams submitting Optional Submission 1 will receive an Imagine Cup t-shirt.
    There is a limit of 1 t-shirt per person.

 •  Screenshots of Progress and visual representation of system architecture (optional submission 2) to be used for rewarding students who start early on their project.
    Optional Submission 2 is due by 23.59 (Sydney time) on 10th February, 2008. All members of teams submitting Optional Submission 1 will receive a Microsoft promotional
    prize pack. There is a limit of 1 prize pack per person.

(‘Entry’)
The deliverables must address the competition theme “Imagine a world where technology enables a sustainable environment” and be received by the Promoter no later than 23.59pm (Sydney Time), 2nd May, 2008 (‘Closing Date’).
5. Only one Entry (consisting of at least one Mandatory Submission) per Eligible Team can be chosen to advance to the Australian or World Finals. Entries will not be returned. Incomplete, corrupted or illegible Entries may be deemed invalid at the sole discretion of the Promoter.
6. Entry constitutes full and unconditional acceptance of these Terms and Conditions. The Promoter reserves the right to verify the validity and originality of Entries and to disqualify any entrant who the Promoter believes either has tampered with the Entry process or has submitted an Entry that is not in accordance with these Terms and Conditions.
7. Any costs associated with accessing the promotional website or submitting deliverables is the entrant’s responsibility and is dependent on the Internet service provider used. Any contact details entered incorrectly on the website shall be deemed invalid.

Timing

8. The Australian Software Design Challenge runs from 1 October 2007 until 2nd May 2008. Complete Entries must be uploaded to the Imagine Cup worldwide website (http://imaginecup.com) no later than 23:59 (Sydney time) on 2nd May 2008 OR be addressed to Karo Esmaili, 1 Epping Rd, North Ryde, Sydney, NSW 2113 and received no later than 23:59 (Sydney time) on 2nd May 2008 except for the Optional Submissions outlined in Pt. 4(b), which, if an Eligible Team selects to submit them, are due at the stated dates.

Use of Data

9. Details from all Entries will be collected and used for the purposes of conducting this promotion (which may include disclosure to third parties for the purpose of processing and conducting the promotion) and for publicity purposes surrounding this promotion. By entering this promotion entrants consent to the use of their information as described. Entrants may access and/or change their data by following the procedures in the Promoter’s privacy policy which is available at www.microsoft.com/australia/privacy. The Promoter will only use your personal details for marketing purposes outside those described above if you “opt in” to join the mailing list when prompted.

Section of Winners

10. All Entries from Eligible Teams uploaded or received by the Closing Date will be reviewed by a panel of Microsoft technical and business matter experts. This is a game of skill and chance plays no part in determining the winners. Each entry will be individually judged based on technical and creative merit.
11. The 5 Eligible Teams selected as having the best Entries (‘Selected Teams’) will be notified by the Promoter by phone on 5th May 2008 and an announcement will be posted to www.microsoft.com.au/imaginecup.
12. The 5 Selected Teams will then be invited to attend the Australian Software Design Final (location to be determined at a later date) which will take place at approximately the end of May 2008 where the Selected Teams will have the opportunity to exhibit and demonstrate their applications and ideas associated with their Entries in an open forum environment to the judging panel. The Promoter will arrange and pay for return economy airfares (from the Selected Teams’ members’ nearest capital city) to Sydney for the day event. All meals, beverages, extra activities, spending money, and all other ancillary costs not expressly provided are the responsibility of the members of the Selected Teams. In the event that for any reason whatsoever any member in a Selected Team does not participate in an element of the Australian Software Design Final at the time stipulated by the Promoter then that element will be forfeited by that person and cash will not be awarded in lieu of participation in that element of the Australian Software Design Final.
13.The overall winner, second place, third place, fourth place and fifth place of the Australian Software Design Challenge will then be determined and announced at the end of the Australian Software Design Final event.

Prizes

14. The second, third, fourth and fifth placed Selected Teams (excluding Team Mentors) will win (respectively):

1.  2nd place Prize: An Xbox 360™ Gaming Pack valued at AU$649.95 RRP for each Team member, $500 to be shared between Team members and the opportunity of a 2 month work
     placement with Readify Pty Limited (Readify) for each Team member, subject to eligibility criteria set out by Readify. Each member of the team will receive an HTC Touch Windows
     Mobile device, a copy of Microsoft® Windows Vista™ Ultimate operating system (valued at $749 RRP) and the opportunity of a 2 month work placement with Readify subject to
     eligibility criteria set out by Readify.

2.  4th and 5th place Prizes: Each member of these teams will receive a copy of Microsoft® Windows Vista™ Ultimate operating system (valued at AU$749 RRP) and a copy of
     Microsoft® Windows® Office Ultimate (valued at AU$1173 RRP).
15. The winning Selected Team will qualify to participate in the international final of the Imagine Cup 2008 Software Design invitational which will be held in Paris, France on 1st to 8th July (inclusive) and each team member - and the Team Mentor - (“Winners”) will receive return economy scheduled flights (including taxes) from an Australian airport (from the Winners’ nearest capital city) to Paris, France, return transfers from their home to the airport in Australian and from the airport to their accommodation in Paris, share hotel accommodation for 7 nights on a room only basis and breakfast, lunch and dinner at the venue for the Imagine Cup 2008 Software Design worldwide Final (“The Prize”). The Winners will also receive $1000 to share between them. All extra meals, beverages, extra activities, spending money, and all other ancillary costs (including travel insurance) not expressly provided, as well as the cost of obtaining any of these, are the responsibility of the members of The Winners. In the event that for any reason whatsoever any person in The Winners does not take an element of the Prize at the time stipulated by the Promoter then that element of the Prize will be forfeited by that person and cash will not be awarded in lieu of that element of the Prize. Members of The Winners will also qualify for offer of a 3 month work placement at Readify, subject to eligibility criteria set out by Readify.
16. The Winners will be responsible for ensuring that they have the necessary Visa for entry into France. Full details of timings and the accommodation will be provided to the Winners before 1 June 2008. Prize is subject to flight and booking availability and travel arrangements are dependent on The Winners’ nearest capital airport. Before the Prize is awarded, The Winners may be required to sign a form to release the Promoter (and its affiliates) from and indemnify the Promoter (and its affiliates) against, any and all liability arising from the use or participation in the Prize.
17. The Promoter will provide details of The Winners to Microsoft Corporation and The Winners will be contacted by Microsoft Corporation to confirm their participation in the Imagine Cup 2008 Software Design invitational. The Promoter will arrange and confirm their travel arrangements. The Imagine Cup 2008 Software Design invitational and participation in the Imagine Cup 2008 Software Design invitational are subject to Microsoft Corporation's terms and conditions for Imagine Cup 2008 which are available, together with more information, at www.imaginecup.com. The Prize is as stated and non transferable. No cash or other alternatives available.
18. The promoter makes no promises on individual members of the Winners team, 2nd placed team or 3rd placed team meeting the job placement eligibility requirements set by Readify. The offer of a job placement will be at the absolute discretion of Readify. Readify may, in its absolute discretion, determine that no offer will be made to any person. The work conditions, dates and rates of pay for the job placements with Readify are to be determined by Readify after consultation with each of the individual members of the Winners, the 2nd placed team and the 3rd placed team. The Promoter has no involvement or responsibility with these work placement prizes once it has been awarded to a member of the Winners, the 2nd placed team and the 3rd placed team.

Winners List

19. Each member of the winning Eligible Team consents to their surnames and country of residence being made publicly available. The winners' surnames and country of residence will be available for a period of 3 months after the closing date or by emailing icaus@microsoft.com

Other

20.No correspondence will be entered into regarding either the Australian Software Design Challenge, the international final of the Imagine Cup 2008 Software Design or these Terms and Conditions. In the unlikely event of a dispute, the Promoter's decision shall be final.
21.If the Promoter is unable to supply the nominated prize, the Promoter reserves the right to supply another prize of equal value. Prize values are the recommended retail value (including GST) in Australia in AUD and are correct at time of printing. The Promoter accepts no responsibility for any variation in prize value. The Promoter accepts no responsibility for any tax implications that may arise from the prize winnings. Independent financial advice should be sought.
22.Prizes are not transferable or exchangeable and cannot be taken as cash unless otherwise stated.
23.The Promoter reserves the right to amend, modify, cancel or withdraw the Australian Software Design Challenge at any time without notice.
24.Participants in the Australian Software Design Challenge or the international final of the Imagine Cup 2008 Software Design accept that, except in respect of death or personal injury resulting from its negligence, the Promoter (and its affiliates) will have no liability whatsoever for any injuries, costs, damage or disappointment of any kind resulting in whole or in part, directly or indirectly from participation in the Australian Software Design Challenge or the international final of the Imagine Cup 2008 Software Design.
25.The Promoter assumes no responsibility for, and the entrant releases the Promoter from responsibility for, any failure to receive an entry or for inaccurate information or for any loss, claim, damage or injury to person or property (including computer systems and servers) as a result of the entrant’s participation in this promotion or the conduct of the promotion generally or as a direct or indirect result of an entrant’s error, any technical problem of any kind including communications or network failure, unauthorised access to, transferring or theft of data, whether caused by the entrant or associated with the equipment or programming used in the conduct of this promotion. If, because of any such problem, this promotion is not able to be conducted as planned and/or the promotion’s administration, security, fairness or integrity are compromised or affected, the Promoter may cancel, terminate, modify or suspend the promotion and/or disqualify any entrant involved in interfering or tampering with the conduct of this promotion in any way.
26.The prize and the component parts of the prize are subject to their own providers' terms and conditions. The Promoter cannot guarantee the performance of any third party (including but not limited to Microsoft Corporation) and shall not be liable for any act or default of any third party. The Promoter accepts no responsibility or liability for third party provider, or for any events beyond its reasonable control, including, without limitation, natural disasters, war, terrorist attacks and civil unrest. The Australian Software Design Challenge and these Terms and Conditions are governed by Australian law.

27.The promoter of the Australian Software Design Challenge is Microsoft Pty Limited, 1 Epping Rd, North Ryde, Sydney, New South Wales 2113, Australia (“Promoter”).
