Purchase Qualification

This offer is valid only for Qualified Organizations purchasing Eligible Licenses through one of the Microsoft License programs identified below for one or more of the specific Microsoft products outlined in Schedule A, and registering those purchases as set forth below. Qualified Organizations must be commercial customers, which excludes public sector, education and healthcare institutions. Academic customers purchasing under Academic Agreements are not eligible to participate in this offer. Nothing in these terms and conditions guarantees that an organization will meet the eligibility requirements for enrollment and/or renewal in one of the Microsoft License programs. The following licenses are considered "Eligible Licenses" for this offer:

  • Open Business License (L Only)
  • Open Business License and Software Assurance (L&SA)
  • Open Value
  • Open Value Subscription


Eligible Licenses must be genuine licenses sold in Canada and for use in Canada and must be purchased from a Registered, Certified or Gold Certified partner that is a member of the Microsoft Partner Program partners in order to qualify for partner subsidy dollars ("Authorized Selling Partners").

The partner subsidy dollars may be used with any Registered, Certified or Gold Certified Partner in the Microsoft Partner Program for future services and products that provide a more complete and enriched solution to assist the Qualified Organization in implementing their solution.

Qualified Organizations may not participate in this offer if they are participating in any other Microsoft Cash Rebate or Partner Subsidy. Partner subsidy dollars must be returned if customer returns qualifying product. Microsoft reserves the right to retrieve Partner subsidy dollars associated with returned licenses.

Registration Requirements and Limits
This offer is good for qualifying purchases made between February 1, 2012 and May 31, 2012 from Authorized Selling Partners. Microsoft reserves the right to cancel or extend this offer at any time in its sole discretion with fifteen (15) days notice.

Notice will be provided only on the http://www.microsoft.ca/bigeasy landing page. No individual notice will be provided if the offer is cancelled or extended. Please check http://www.microsoft.ca/bigeasy for offer availability before purchasing.

The amount of partner subsidy dollars available to a Qualified Organization is determined based on the quantity and type of Eligible Licenses purchased during the offer period, as set forth in Schedule A. Qualified Organizations must successfully register their purchase(s) at http://www.microsoft.ca/bigeasy within thirty (30) days of purchase to be eligible to receive the partner subsidy dollars. If the Qualified Organization fails to register by 5:00pm PDT within thirty (30) days of purchase it forfeits the right to receive any partner subsidy dollars from this offer. The purchased software will be validated as genuine during the registration process

Purchase Time Period: February 1, 2012 through May 31, 2012 Registration Deadline: Before 5:00 p.m and within thirty (30) days of purchase. A Qualified Organization includes the Qualified Organization's Affiliates. "Affiliate" means any legal entity that owns, is owned by, or that is under common ownership with Customer (ownership means control of more than a 50% interest).

Provided the entity is a Qualified Organization that purchases the Eligible Licenses from an Authorized Selling Partner and registers its license purchases by the registration deadline, the Qualified Organization will receive partner subsidy dollars for the Eligible Licenses purchased during the Purchase Time Period. The amount of partner subsidy dollars depends upon the type and quantity of licenses purchased. Each purchase of the minimum quantity and type of licenses from a specified Product Group made by the Qualified Organization during the Purchase Period will count as one (1) Product Group purchase ("Qualifying Product Group Purchase").

The total number of Qualifying Product Group Purchases will determine the partner subsidy dollar per license that the Qualified Organization will receive as set forth below and in Schedule A:

  • Qualified Organization must purchase a minimum of one product across the Product Groups:
    • Office, Windows Server, SharePoint, Exchange, Lync. Within each Product Group the partner subsidy dollar amount per license that may be earned is calculated by matching the specific license item name and part number to the Subsidy column in Schedule A. If licenses from only one Product Group are purchased, Subsidy 1 column should be used to determine the partner subsidy dollar amount. If licenses from two or more Product Groups are acquired, Subsidy 2 column should be used to determine the partner subsidy dollar amount. As identified in Schedule A there are a minimum number of licenses that must be acquired in order to receive the partner subsidy dollars. In addition there is a maximum amount of licenses and once that amount has been reached, no further partner subsidy dollars will be distributed. If a Qualified Organization has previously received partner subsidy dollars under this offer within the appropriate time frame and was paid the corresponding partner subsidy dollars at that time, the Qualified Organization may still be eligible to receive additional partner subsidy dollars provided it has not reached the Maximum Qualifying Licenses Quantity Per Product Group. The amount of the partner subsidy dollars earned by virtue of additional purchases will be calculated and the initial partner subsidy dollars payment will be subtracted to determine the net additional partner subsidy dollars, if any, to be paid out. In no case will the Qualified Organization be paid more for multiple redemptions than the calculated payout would have been if the Customer had redeemed only once during the Purchase Time Period.

Microsoft reserves the right to change the products for this offer without notice. Organizations and Authorized Selling Partners are responsible for reviewing qualifying products before purchasing.

License/Software Exclusions
Partner subsidy dollars are not earned or available for purchases of the following licenses/software:

  • Enterprise Agreement and Enterprise Subscription Agreement Program Licenses
  • Select Program Licenses
  • Not-For-Resale software
  • Full Package Product ("FPP") or Academic Edition ("AE") software
  • Academic Licenses
  • Government
  • Software acquired through charity pricing, TechNet or MSDNĀ® Subscriptions
  • Software acquired through ISV Royalty or Services Provider License Agreement ("SPLA" Programs)
  • Upgrade licenses
  • Counterfeit software
  • OEM software
  • Recurring/Anniversary payments

Partner Subsidy Dollars Utilization
Partner subsidy dollars received as part of this offer must be used to pay for future purchases of services or products from a partner who is a member of the Microsoft Partner Program and who is selected by the Qualified Organization ("Selected Partner"). Partners cannot participate in this offer to receive partner subsidy dollars to use for their own business. Partners can be selected at: https://partner.microsoft.com/Canada/Partner

Partner Subsidy Dollars Utilization Exclusions
Each partner subsidy dollars cheque will expire within ninety (90) days of its issue date. Partner subsidy dollars are NOT to be given to a Selected Partner as a credit (i.e. on account) to pay for future services that begin after the ninety (90) day expiration date of the cheque; the Selected Partner must begin services before the ninety (90) day expiration date. Qualified Organizations may not receive a cash payout from the Selected Partner for any portion of the partner subsidy dollars amount. Microsoft reserves the right to request proof of services (e.g. partner statement of work and/or invoice) or products purchased by Qualified Organizations to verify completion of appropriate services or products sold by their Selected Partner. Microsoft also has the right to contact the Selected Partner to verify the services or products sold.

Partner Subsidy Dollars Payment Information
A partner subsidy dollars cheque will be sent to the Qualified Organization within eight (8) weeks of the claim being approved. The partner subsidy dollars cheque will be payable to the Selected Partner. The Qualified Organization will deliver the cheque to the Selected Partner upon (1) completion of the Selected Partner services, and/or (2) purchase of products from the Selected Partner. The receipt of benefits is contingent upon Microsofts verification that all of the criteria in these terms and conditions have been met.

Returns
If partner subsidy dollars are paid based upon qualified purchases by the Qualified Organizations that are subsequently returned, the Qualified Organization must reimburse Microsoft for the partner subsidy dollars paid based upon the purchase of those returned licenses. Microsoft reserves the right to follow-up with Partners/Customers who have used a partner subsidy cheque after returning the software.

Country
Offer good in Canada only and only for eligible licenses that will purchased and used in the country. Offer void where prohibited, taxed, or restricted by law.

Limitation of Liability
Qualified Organizations are responsible for contracting directly with their Selected Partner for any services or products to be provided and paid for in whole or in part by the partner subsidy dollars. Qualified Organizations are responsible for submitting the partner subsidy dollars cheque to their Selected Partner, and for paying any amount owed in excess of the amount of the partner subsidy dollars. The Selected Partner does not represent or act as an agent for Microsoft. IN NO EVENT SHALL MICROSOFT HAVE ANY OBLIGATION OR LIABILTY WHATSOEVER IN RELATION TO THE SERVICES OR PRODUCTS PROVIDED BY THE SELECTED PARTNER UNDER THIS OFFER.
