Microsoft Canada Business Advisory Panel Terms and Conditions:
Submitting an application form to participate in the Microsoft Canada Business Advisory Panel Program (the "Program") is explicit consent by the applicant for Microsoft Canada Co. ("Microsoft") to objectively verify the contents of the application form and determine the applicant's eligibility. While Microsoft thanks all applicants, only those selected for interviews will be contacted. Each applicant may only submit one (1) application.
To help protect applicants' privacy, application forms can only be taken through the Microsoft Profile Centre.
A shortlist of applicants will be contacted by Microsoft by telephone for a brief screening interview as part of the panellist selection process. Successful applicants selected to be panellists for the Program will be notified by telephone and provided with the Microsoft Canada Business Advisory Panel Terms and Conditions.
Program Description
All applications for participation in the Microsoft Canada Business Advisory Panel Program (the "Program") are reviewed by Microsoft Canada Co. ("Microsoft") in order to select Program panellists (each a "Panellist"). By participating in the Program, all Panellists agree to be bound by the Terms and Conditions set out below.
The Program consists of panel discussions that are scheduled to occur on a monthly basis, each for a duration of thirty (30) minutes, during which Microsoft will solicit Feedback (as defined below) from the Panellists on various Microsoft projects, initiatives, and products (each a "Discussion Panel"). Microsoft reserves the right in its sole discretion to increase or decrease the frequency and/or length of the Discussion Panels. Panellists' participation in the Program shall continue until ended by either Microsoft or the Panellist pursuant to these Terms and Conditions.
All Panellists will receive email notification of upcoming Discussion Panels. Each Discussion Panel can accommodate up to eight (8) Panellists, selected by Microsoft from available Panellists who responded to the email notification. Panellists for each Discussion Panel will be selected in Microsoft's sole discretion. Microsoft does not guarantee any minimum participation of Panellists on Discussion Panels.
Reward Points
Panellists will receive two (2) Reward Points for each Discussion Panel they fully participate in, as determined by Microsoft's Program coordinator. Reward Points are cumulative and are used to determine eligibility for the
Panel Rewards.

Panellists may redeem their accumulated Reward Points at any time by emailing cansmb@microsoft.com and for any number and combination of Panel Rewards, up to the total amount of accumulated Reward Points. Reward Points cannot be combined with the Reward Points of other Panellists, and cannot be assigned, sold, or otherwise transferred.
All Panel Rewards will be shipped at Microsoft's expense to the business address provided by the Panellist within thirty (30) business days of the Panellist redeeming the Panel Reward(s). Panellists can update their business address by e-mailing cansmb@microsoft.com. Microsoft reserves the right in its sole discretion to substitute a Panel Reward with a product of equal or greater value.
Microsoft reserves the right from time to time to modify the Reward Point structure, including without limitation changing the Panel Rewards available for redemption, the Reward Point target for each Panel Reward, and the awarding of Reward Points.
Once Microsoft has confirmed a Panellist's participation in a scheduled Discussion Panel, Panellists must provide at least twenty-four (24) hours notice of cancellation if they can no longer participate. Panellists who cancel or otherwise fail to actively participate in their scheduled Discussion Panels will not be eligible to receive Reward Points in respect of such Discussion Panels, as determined by Microsoft's Business Program coordinator. Panellists may not permit a substitute person, including another Panellist, to participate in a scheduled Discussion Panel on their behalf. In the event that Microsoft cancels a Discussion Panel, Panellists scheduled to participate in such Discussion Panel will be awarded Reward Points.
Confidentiality and Intellectual Property
Panellists may be provided with or have access to Confidential Information, and will be asked to provide suggestions, comments or other feedback ("Feedback") to Microsoft with respect to such Confidential Information. "Confidential Information" means all information and materials provided by Microsoft to Panellists as part of their participation in the Program, including all Discussion Panels, unless declared non-confidential by Microsoft, including, without limitation, information in tangible or intangible form relating to and/or including released or unreleased Microsoft software or hardware products and services, including Microsoft Passport, the marketing or promotion of any Microsoft product or service, Microsoft's business policies or practices.
The Panellist hereby assigns to Microsoft, its successors and assigns, all right, title and interest in and to the Feedback, including all copyrights, patents, trade secrets, and other proprietary rights therein. The Panellist shall execute and deliver such instruments and take such other action as may be required and requested by Microsoft to carry out the assignment made pursuant to this section. The Panellist waives on a perpetual, irrevocable and worldwide basis all moral rights in the Feedback. For further clarity, Microsoft shall be free to use, disclose, reproduce, license or otherwise distribute, and exploit the Feedback provided to it as it sees fit, entirely without obligation or restriction of any kind on account of intellectual property rights or otherwise.
Panellists shall:
i. Refrain from disclosing any Confidential Information to third parties for five (5) years following the date that Microsoft first discloses such Confidential Information to Panellists;
ii. Take reasonable security precautions to keep confidential the Confidential Information;
iii. Refrain from disclosing, reproducing, summarizing and/or distributing Confidential Information except in pursuance of Panellists' participation in the Program; and
iv. Refrain from reverse engineering, decompiling or disassembling any software code and/or pre-release hardware devices disclosed by Microsoft to Panellists, except as expressly permitted by applicable law.
In the event that Microsoft provides any computer software and/or hardware to Panellists as Confidential Information, such computer software and/or hardware may only be used by the Panellists for the purposes of evaluation and providing Feedback to Microsoft. Unless otherwise agreed by Microsoft and a Panellist, all such computer software and/or hardware is provided "AS IS" without warranty or condition of any kind, and Panellists agree that neither Microsoft nor its suppliers shall be liable for any damages whatsoever arising from or relating to Panellists' use or inability to use such software and/or hardware.
Panellists shall, at Microsoft's request, return all originals, copies, reproductions and summaries of Confidential Information and all other tangible materials and devices provided to Panellists (whether Confidential Information or not), or at Microsoft's option, certify destruction of the same.
Termination
Microsoft may terminate the Program at any time without notice to Panellists. Microsoft may terminate the participation of a Panellist in a Discussion Panel or the Program at any time, effective immediately upon notice.
Violation of these Terms and Conditions by a Panellist may result, in Microsoft's discretion, in forfeiture of accumulated Reward Points, and/or suspension or removal of the Panellist from the Program.
Panellists can request removal from the Program at any time by e-mailing cansmb@microsoft.com. Please note that it may take up to ten (10) business days for a removal request to be processed, and during that period, Panellists may still receive communications regarding the Program that are in transit.
In the event of termination of the Program and subject to these Terms and Conditions, Panellists will be entitled to redeem all Reward Points accumulated during the period up to and including the date of termination. All Reward Points must be redeemed within two (2) weeks of the date of termination.
General
These Terms and Conditions will be governed by and interpreted in accordance with the laws of the Province of Ontario.
The division of these Terms and Conditions into separate section headings is for ease of reference only and shall not affect the interpretation of this document.
These Terms and Conditions, and any documents incorporated by reference, constitute the entire agreement between Microsoft and the Panellist with respect to the Program, and supersede all prior agreements, understandings and discussions.
