Microsoft® Visual Studio® Professional Promotion Terms & Conditions
Purchase Qualification
This promotion is valid only for qualifying organizations purchasing a minimum of one (1) and a maximum of ten (10) Microsoft Visual Studio Professional w/MSDN Professional license with Software Assurance (L&SA) who will be eligible for a $225 per license rebate or Microsoft Visual Studio Professional w/MSDN Premium license with Software Assurance (L&SA) who will be eligible for a $515 per license rebate through one of the following Microsoft Volume License programs: Open License Business or Open License Value ("Qualifying Organizations"). Open Value Company Wide does not qualify. Nothing in these terms & conditions guarantees that an organization will meet the eligibility requirements for enrollment and/or renewal in the Microsoft Open License program.
Redemption Requirements and Limits
This promotion is good for purchases made from February 27, 2008 through May 30, 2008, or when $40,000 of rebate dollars have been distributed, whichever comes first. Please check www.microsoft.ca/smb/vsoffer for offer availability before purchasing. Microsoft reserves the right to extend the time period or increase the amount of rebate dollars available in its sole discretion.
Qualifying organizations are limited to commercial customers. Academic, government and charity customers are not eligible for this promotion.

Each qualifying organization is eligible for a maximum of $5,150 in total rebate dollars for all qualifying licenses purchased.
Qualifying organizations must successfully register to receive the rebate at www.microsoft.ca/smb/vsoffer by 5:00pm EST on June 13, 2008. There is a limit of one (1) redemption per customer. A "redemption" is defined as completing a single registration on this Web site.
"Customer" means an entity receiving the redemption and all its affiliates. "Affiliate" means any legal entity that owns, is owned by, or that is under common ownership with Customer (ownership means control of more than a 50% interest).
Failure to register by 5:00pm PST on June 13, 2008 forfeits a qualifying organization's right to receive any rebate from this promotion.
Purchase Time Period: February 27, 2008 through May 30, 2008
Redemption Time Period: On or before June 13, 2008
Subject to the above-stated quantity and maximum rebate limitations.
Qualifying Organizations Will Receive
Qualifying organizations will receive rebate dollars for each license purchased (maximum of 10 licenses) as outlined in the following schedule:

License Exclusions:
Subsidy is not valid in conjunction with purchases of the following licenses:
- Any Software Assurance ("SA") only purchase
- Any purchase not executed through a Microsoft Open License Program
- Any purchase executed through a Microsoft Open License Company Wide Program
- Not-For-Resale products
- Microsoft software pre-installed or supplied by an Original Equipment Manufacturer
- Academic Edition ("AE") products
- Software acquired through charity pricing, TechNet or MSDN® Subscriptions
- Upgrade licenses (if available)
Rebate Payment Information
Rebate payments will be delivered to the address provided at registration to the qualifying organization within 6 to 8 weeks of the end of the redemption time period. The partner rebate cheque will be made out to the qualified Organization.
Returns
Qualifying organizations that redeem licenses for this promotion and return redeemed licenses will be subject to reimbursing Microsoft for rebate paid based on the dollars per license paid out.
Country
