Our Priorities

Microsoft’s commitment to corporate responsibility and integrity defines the work of our ethics and compliance program. This commitment is expressed first in our code of conduct (Standards of Business Conduct), which is organized around building trust with customers, governments, communities, each other, investors, and representatives. The Standards reflect our culture and values, describe the principles that guide our behavior, and help each of us make good choices and get help when needed.

Administration and Oversight of the Compliance Program

Under the Company’s compliance framework, the President and Chief Legal Officer serves as the Company’s Chief Compliance Officer and has overall responsibility for the management of the compliance program. He reports directly to the CEO and, for this purpose, to the Audit Committee. The President and Chief Legal Officer, through the Corporate Vice President and Deputy General Counsel, Litigation, Competition & Compliance Group, oversees the Office of Legal Compliance (OLC). The Deputy General Counsel has direct access and reporting obligations to the Audit Committee of the Board of Directors.

Microsoft’s Standards of Business Conduct and its Ethics and Compliance Program are endorsed by and have the full support of Microsoft’s Board of Directors. The Board of Directors and management is responsible for overseeing the Ethics and Compliance Program and compliance with the Standards.

Enforcement

Microsoft’s Standards of Business Conduct is important to the Company. Violation of the Standards may result in disciplinary action, up to and including termination of employment.

Any employee who engages in retaliation or who makes a report that is not in good faith may be subject to disciplinary action up to and including termination of employment.
