For on-premise Exchange, you need to purchase a license for each of your Exchange Server 2010 instances and also Client Access Licenses (CALs) for each of your users or devices. You can acquire stand-alone licenses for Exchange, or purchase licenses in combination with other Microsoft products in one of several suites.
For Microsoft-hosted Exchange, you need to purchase subscriptions for each of your users. Similar to on-premise Exchange licensing, you can purchase stand-alone Exchange Online subscriptions or purchase them in combination with other Microsoft products as part of a Microsoft Online suite.
