| | Terms and Conditions | - Entry is only open to Hong Kong residents, aged 18 years or over. Employees of Microsoft Hong Kong Ltd ("MSHK") and their direct family members, retailers and suppliers of Microsoft products or services and their associated companies and agents, are not eligible to enter. By submitting an entry, you agree to be bound by these Terms and Conditions and signify that you have read and understood them fully.
- To enter, each person complying with the requirements in paragraph 1 (¡§Participant¡¨) must create an original functional sidebar gadget running on Windows Vista (¡§Windows Vista Sidebar Gadget¡¨) in accordance with the submission requirements in paragraph 4 below and e-mail the entry to hkgadget@microsoft.com along with the Participant's full name as appearing on his/her HKID card, contact phone number and e-mail address.
- Participants may submit more than one entry and may join other Participants to form teams of Participants for the purposes of entering this competition. In these Terms and Conditions and the competition, references to a Participant shall be interpreted to refer to a team of Participants as applicable.
- All entries shall be in final and complete form and created in accordance with the submission requirements posted on the competition website which is located at http://www.microsoft.com/hk/windows/downloads/hkgadgetscompetition.mspx, or any replacement website MSHK may select from time to time (¡§Competition Website¡¨).
- By submitting an entry to this competition, you warrant and represent that any information submitted is complete and accurate. Entries with incomplete or inaccurate details, including but not limited to any false e-mail address or impersonation of any person or entity, will be disqualified from this competition at Microsoft's sole and absolute discretion. MSHK accepts no responsibility for late, lost or misdirected entries.
- Participants are strictly forbidden from copying (either wholly or substantially) any third party work or material, and by submitting an entry to this competition, you represent and warrant that your entry is entirely your own creation and has not been copied from any third party work or material or published or used in any manner before. In particular, you represent and warrant that your entry does not violate or facilitate the violation of any laws or regulations or any rights of MSHK or any third party arising under contract law or otherwise. Where any person is depicted in any image, photograph or other material contained in the entry, you represent and warrant that consent to the depiction has been duly obtained from the relevant person(s). Where your entry interacts with a back-end server (including but not limited to RSS news feeds) to retrieve information and content, you represent and warrant that you have the legal rights to such information and content. You also represent and warrant that your entry will be legal, honest, decent and truthful and not be obscene, abusive, threatening, libellous or defamatory of any person. You further represent and warrant that such submission does not constitute or contain software viruses, commercial solicitations, chain letters, mass mailings, or any form of "spam". In particular, you represent and warrant that such submission does not contain any Prohibited Code. "Prohibited Code" means software code of any kind that: (i) is potentially harmful to or could compromise a user's system, software data, security and/or privacy; (ii) interferes with the operation of applications without the user's express knowledge and consent; (iii) launches or causes other similar code or applications to launch; (iv) is obscured or resistant to removal; (v) removes or disables security, anti-spyware or anti-virus technology without the user's express knowledge and consent; (vi) displays advertisements without the user's express knowledge and consent (unless the same as for the purposes of promoting an alternative version of the software e.g. an update or upsell); or (vii) collects or shares personal information, changes file associations, adds browser toolbars or changes browser settings such as the user's favorites, default home page or search provider without the user's express knowledge and consent. MSHK reserves the right to verify the validity of each entry and to disqualify any Participant for tampering with the entry process or for submitting an entry which is not in accordance with these Terms and Conditions.
- The competition commences at 12:00:00 on June 5th 2007 and closes at 23:59:59 on September 5th 2007 (Hong Kong time).
- The top five (5) winning entries, as determined by a panel of judges, which shall comprise MSHK employees as designated by MSHK ("the Judges"), in their sole and absolute discretion by reference to the criteria in paragraph 9 below, will be published and promoted on the Competition Website. Each Participant who has submitted the top five (5) winning entries will receive one (1) copy of Microsoft Expression Suite and one (1) copy of the video game Shadowrun (collective referred to as "the Prize"). For the avoidance of doubt, where the winner is a team comprising of more than one Participant, one (1) Prize will be awarded to the team of Participants.
- 9. By submitting an entry in this competition or by entering the competition, you agree to be bound by the decisions of the Judges, which shall be final and binding in all respects. The Judges will determine which are the top five (5) winning entries according to criteria including without limitation the following:
- User Experience e.g. Is the particular sidebar gadget easy to use? Does it have a nice look and feel?
- Relevance to Hong Kong e.g. How useful is the sidebar gadget to Windows Vista users in Hong Kong? How many users will likely use the sidebar gadget and how frequently will they use it?
- Mix of Technologies e.g. Does the sidebar gadget provide groundbreaking new functionality to the Windows desktop? Does the gadget deliver a clever solution by taking advantage of Microsoft's technologies?
- A Participant who is determined by MSHK as eligible to receive the Prize will be notified via e-mail on or around September 19th 2007 and be provided with instructions for identity verification and redemption of the Prize ("Instructions"). Any winner that cannot be contacted, is ineligible or fails to claim the Prize in accordance to the Instructions, shall be deemed to have forfeited the Prize and Microsoft may award the Prize to an alternate winner in its sole and absolute discretion. In the event of a dispute, all decisions of Microsoft shall be final and binding on all Participants.
- The Prizes are all provided on an "as is" "with all faults" and "as available" basis. To the maximum extent permitted by law, MSHK and its officers, directors, agents, parent and subsidiary companies, joint ventures, subcontractors and employees ("the Microsoft Entities") make no warranties or representations of any kind, whether express, implied or statutory, with respect to the Prizes, including without limitation: implied warranties or conditions of merchantability, fitness for a particular purpose, accuracy, title, no encumbrances, no liens and non-infringement.
- Apart from any material in your submission that is licensed to you by the Microsoft Entities, the Microsoft Entities do not claim any ownership of your submission. By submitting an entry in this competition or by entering the competition, you grant the Microsoft Entities all necessary rights to make your submission available on the Competition Website. You also grant the Microsoft Entities a non-exclusive, worldwide, perpetual, irrevocable, royalty-free, transferable and fully sublicensable (through multiple entities) right to exercise (including without limitation the right to use, publish, distribute, reproduce, modify, adapt, exploit, display and create derivative works from) any intellectual property (including copyright) you may have in your entry, in any form, media, or technology, whether now known or hereafter developed, alone or as part of other works and in any manner that the Microsoft Entities so choose. In particular, you hereby grant the Microsoft Entities the right to publish online, or in print, your entry and the corresponding acknowledgment such as your details, name and likeness (and, where applicable, any corporate details and name) without compensation and you irrevocably and unconditionally waive all moral rights you have or may have in relation to the Microsoft Entities' use of your entry in accordance with these Terms and Conditions. You represent and warrant that you have all necessary rights for the grant of rights detailed in this paragraph and where you are submitting an entry on behalf of a separate legal entity, such as a limited company, you will have obtained all required licences, consents and permissions from that entity prior to submission. You agree that any such rights granted shall be exercised by the Microsoft Entities in their sole and absolute discretion and acknowledge that they may refuse to publish and may even remove your submission from any existing publication at any time.
- You will indemnify, defend and hold the Microsoft Entities, harmless from any and all claims, demands, costs, liabilities, losses, expenses and damages (including legal fees, costs and expert witnesses' fees) arising out of or in connection with any claim brought by any third party arising out of your entry in this competition, any breach by you of these Terms and Conditions, or your violation of any law or the rights of a third party (including without limitation intellectual property rights).
- To the maximum extent permitted by law, the Microsoft Entities assume no responsibility for, and you release the Microsoft Entities from responsibility for, any failure to receive an entry or for inaccurate information or for any loss, claim, damage or injury to person or property (including computer systems and servers) as a result of your participation in this competition, in utilizing the Prizes or the Competition Website, the conduct of the competition generally or as a direct or indirect result of your error, any technical problem of any kind including communications or network failure, unauthorized access to, transferring or theft of data, whether caused by you or associated with the equipment or programming used in the conduct of this competition. If, because of any such problem, this competition is not able to be conducted as planned and/or the competition's administration, security, fairness or integrity are compromised or affected, MSHK may immediately and without notice cancel, terminate, modify or suspend the competition and/or disqualify any Participant involved in interfering or tampering with the conduct of this competition in any way.
- To the maximum extent permitted by law the Microsoft Entities shall not be liable for any indirect, special or consequential loss or damage that Participants may suffer in connection with the competition or any of the matters detailed in paragraph 14, and the Microsoft Entities' total liability in connection with such matters shall be limited to the sum of HK$100.
- MSHK reserves the right in its sole and absolute discretion to disqualify any Participant which MSHK has reason to believe has breached any of these Terms and Conditions or any instructions or directions that may be contained on the Competition Website, or engaged in any unlawful or other improper misconduct calculated to jeopardize the fair and proper conduct of the competition. Microsoft's legal rights to recover damages or other compensation from such an Participant are reserved.
- MSHK has the right at any time to change these Terms and Conditions or discontinue the competition or any aspect of it. MSHK will announce all substantive changes by posting them on the Competition Website . Any changes or discontinuation will take effect from the date they are posted. Your continued participation in the competition will constitute acceptance of any and all of the changes made. If you do not agree with any change, you should stop participating in the competition. You agree that MSHK shall not be liable to you for any loss or damages arising as a result of any such change or discontinuation.
- The competition and these Terms and Conditions shall be governed and construed in accordance with the laws of Hong Kong SAR and the courts of Hong Kong SAR shall have jurisdiction to hear all disputes relating to them.
- All parts of the competition and the Terms and Conditions shall apply to the maximum extent permitted by law. If any provision of this agreement shall be held to be unlawful, void or unenforceable, then such provision shall be replaced with terms that most closely match the intent of the MSHK and the remainder of the Terms and Conditions shall continue in full force and effect.
- MSHK shall use the information you provide on this form in connection to this competition as detailed in these Terms and Conditions and from time to time to send you information about Microsoft products and services. MSHK will not share the information you provide with third parties (except its affiliates or agents or vendors) without your permission except where necessary for the purposes of this competition, or as required by law. All Participants hereby grant MSHK the right to publish on line and in print, their details, names and likeness (and, where applicable, any corporate details and name) without compensation.
