Frequently Asked Questions about Agreement Refresh 2011

The Microsoft Volume Licensing program agreements are refreshed annually. This year’s changes, effective October 3, 2011, will help clarify language, bring alignment among Volume Licensing agreements, and implement significant program enhancements that will make it easier to include Online Services, help simplify licensing, and improve the customer and partner experience.

Your existing agreement remains unchanged, as the changes apply only to agreements signed after October 3, 2011 (or December 1, 2011, for all Open Program agreements). No action is required until your agreement renewal. See your Microsoft reseller for additional information on specific program updates.

Note: The Microsoft Business and Services Agreement, Enterprise Agreement, Enterprise Subscription Agreement, Select Plus for Academic Agreement, Open Value Agreement, Open Value Subscription Agreement, Open Academic Agreement, Open Charity Agreement, ISV Royalty Agreement, Services Provider License Agreement, SPLA Essentials Agreement, and Get Genuine for Windows Agreement are not affected by Agreement Refresh 2011.

What changes were made across agreements?

Changes that affect all programs include, but are not limited to, the following:

  • Changes to make it easier to include Online Services into agreements

    • Extending cloud services to multiple agreements to allow them to be acquired as part of the agreement process

  • Removed all summary boxes on the agreements to shorten the agreements and limit complexity

When will these changes take effect?

Changes to the Enterprise Enrollments and Select Plus Agreements (excluding Academic), will be effective on October 3, 2011. Changes to the Open License Agreement will be effective on December 1, 2011.

What changes were made across the Enterprise enrollments (Enrollment for Application Platform and Enrollment for Core Infrastructure)?

Although no changes were made to the Enterprise Agreement and Enterprise Subscription Agreement, the following changes were made to the Enrollment for Application Platform and the Enrollment for Core Infrastructure:

  • Removed redundant language and shortened language to reduce complexity

  • Updated ordering and payment rules for True Up for clarity

What changes were made to the Enterprise Enrollment: Enrollment for Application Platform?

The following changes were made to the Enrollment for Application Platform:

  • Changes to improve ordering of Additional Products:

    • Update to allow Additional Products to include Online Services

    • Added price-level rules and table for Additional Products

    • Allow True Ups for Additional Products

    • Clarified that Enrollments requiring an enterprise-wide commitment do not offer Core Program products as part of Additional Products

  • Price-level tables moved to the Product Selection Form

  • Added definitions to differentiate between Additional Products and Core Program Products

  • Clarified rules about Microsoft SQL Server Datacenter

  • Added a new product to the product list: Microsoft Visual Studio LightSwitch

What changes were made to the Enterprise Enrollment: Enrollment for Core Infrastructure (ECI)?

  • Changes to improve ordering of Additional Products:

    • Update to allow Additional Products to include Online Services

    • Added price-level rules and table for Additional Products

    • Allow True Ups for Additional Products

    • Clarified that Enrollments requiring an enterprise-wide commitment do not offer Core Program products as part of Additional Products

  • Price-level tables moved to the Product Selection Form

  • Added definitions to differentiate between Additional Products and Core Program Products

  • Improve flexibility by moving Core Infrastructure Server (CIS) Suite line-up to product list

Who do these changes affect?

The agreement changes affect the 2011 agreements that will be available on October 3, 2011, or December 1, 2011, depending on the program. For 2011 enrollments, the changes affect new enrollments, regardless of the agreement version.

Were changes made to the Select Plus agreements?

The following changes were made for Select Plus:

  • Replaced references to “Microsoft Volume Licensing Services (MVLS)” with “Volume Licensing Service Center (VLSC)” because MVLS was retired

  • Added text to clarify use of carry-over points in the compliance check process

What key changes were made to the Open Programs?

The following changes were made to the Open License agreement:

  • Overall contract simplification

    • Reduced the contract size from 11 pages to 5 and one-half pages

    • Simplified language throughout the contract

    • Removed the License Transfer section because it is included in the separate Perpetual License Transfer form

What key changes were made to the Academic Enrollment for Education Solutions

  • Reordered some sections to improve document flow

    • Updated the “Defining Institution’s Organization” section

    • Clarified Work at Home Rights and transferring licenses to graduating students

  • Student price levels added

  • Enrollment for Server Platform – Academic terms integrated into enrollment, “Server Platform Products Licensing Option”

    • Integrated into Enrollment for Education Solutions (EES) enrollment so that no separate amendment is required

What key changes were made to Campus and School (CASA) Master Agreement?

  • Language Added or Updated:

    • Buy Out Option language updated to be clear it is not available for the Student Option

    • Updated to most recent Microsoft Business Services Agreement (MBSA) language; supplemental terms apply to CASA agreement

    • Online supplemental Terms & Conditions are now incorporated into the School Enrollment

  • Language Removed:

    • “How to Order Products” content removed from CASA Master Agreement because the language is included in the Enrollment for Education Solutions

    • “Work at Home Rights” content removed from CASA Master Agreement because the language is included the Enrollment for Education Solutions

What additional changes are related to Agreement Refresh?

The Product Use Rights (PUR) document has undergone a design and format overhaul to make it easier to find license terms for individual products and easier to navigate through the document. These changes, which were made with customer and partner input, follow simple design rules to provide structure and allow for an easier reading experience.
