The ISV Royalty Licensing Program offers Independent Software Vendors (ISVs) a convenient way to integrate Microsoft licensed products into software business applications, replicate the business solution, and distribute a fully licensed solution to customers. ISVs are organizations that exclusively develop software or software solutions, rather than manufacturing hardware that is part of a computer system.

With the ISV Royalty Licensing Program, you can integrate Microsoft licensed products with your application by doing any of the following:

Integrating a Microsoft licensed product into your application code

Including a Microsoft licensed product along with your application on the installation media

Preinstalling a Microsoft licensed product on a computer system that is part of the unified solution

For example, if you develop an application that is dependent on a database and you are enrolled in the ISV Royalty Licensing Program, you can choose to include Microsoft SQL Server as an integrated part of your unified solution for distribution to your customers.

Benefits for ISVs

There are many business reasons you might want to join the ISV Royalty Licensing Program. For example, participating in the program will enable you to:

Deliver a total solution. Provide your customers with one-stop shopping and avoid deployment delays. Your customers do not have to undergo a separate procurement process to acquire the Microsoft product licenses. You can deliver a unified solution—the software product that is licensed to your customers—which includes one or more licensed products, adds significant and primary functionality to the licensed products, and may include software acquired from third parties.

Help reduce costs. You may be able to reduce installation, configuration, update, and support costs.

Help increase your revenue. Create an additional revenue stream or potential margin by redistributing Microsoft licenses and Embedded Maintenance upgrade coverage with your solution.

Extend product life cycle. You can sell version-specific unified solutions for up to 18 months after Microsoft releases a new version of the licensed product that is integrated into the value-added business solution.

Distribute worldwide. You can distribute your unified solutions to customers in any part of the world.

Sell to academic customers. You can sell licenses to academic customers in addition to corporate business customers.

Earn partner points. Earn partner points in the Microsoft Partner Program by signing up to participate in the ISV Royalty Licensing Program.

Provide customer demonstrations. You can demonstrate your unified solutions to prospective customers as long as you remain in possession of the demonstration copies.

Provide customer evaluations. You may use the licensed products to provide your unified solutions to prospective customer on a trial basis for up to 120 days.

Benefits for Customers

Your customers benefit from the added value of obtaining a complete software solution, including the Microsoft licensed products and licenses, from one source. The value for your customers significantly increases because they can receive product support and upgrades directly from you.

Available Licenses

Each Microsoft licensed product offered through the ISV Royalty Licensing Program has a corresponding set of use rights. There are two types of use rights:

ISV License. This default license type allows you to integrate Microsoft licensed products into your unified solution and to license the Microsoft licensed product as a part of your unified solution. This license also allows your customers to use the underlying Microsoft licensed product with other applications as long as they are still licensed for your application.

ISV Run-Time License. Some licensed products offered through the ISV Royalty Licensing Program are offered with additional restricted use rights. Your customers can use these applications only with the unified solution with which they were acquired. Your customers cannot use the Microsoft licensed products to run any other application, to develop new applications, or in any context independent of the unified solution with which they were acquired.

Program Requirements

To participate in the ISV Royalty Licensing Program, you must:

Provide technical support. You are responsible for providing support for the unified solution to your customers. To ensure the support level, you must enroll in the Microsoft Partner Program as a Microsoft Certified Partner or Gold Certified Partner, or purchase a minimum of five technical product support incidents from Microsoft or from a Gold Certified Support Partner.

Develop a unified solution. You must develop a value-added solution that uses Microsoft licensed products and distribute the unified solution in a tangible media form.

Meet a revenue commitment. You must commit to a minimum of US$15,000 in royalties paid to Microsoft during the three-year term of the agreement.

Provide monthly reporting on software licenses. You will need to submit a monthly royalty report or zero royalty report for the licenses that you and your affiliates distributed to your customers.

How to Get Started

Signing up in the ISV Royalty Licensing Program is easy. You will need to:

1.

Meet one of the following two requirements:

Enroll in the Microsoft Partner Program as a Microsoft Certified Partner or Gold Certified Partner

Purchase at least five technical product support incidents for the licensed products used in the unified solution from Microsoft or from a Gold Certified Support Partner

2.

Complete the ISV Royalty License and Distribution Agreement and credit application form. To obtain these documents, contact your Partner Account Manager or local subsidiary, or send an e-mail message to isvroy@microsoft.com.

3.

Submit the ISV Royalty License and Distribution Agreement and credit application form to the applicable Microsoft Operations Center.

After you are accepted into the program, you will receive a welcome letter that contains information on how to get started, including how to order fulfillment media and how to register for the online program tools.
