4. How to send your entries:

Terms and Conditions for the Microsoft Open End User FY13 Q3 Upgrade Your Business Celebrity Mentor Edition Promotion (the “Promotion”)


General Terms and Conditions

SECTION 1 Claiming of Prizes

Winning contestants will be contacted by the Microsoft Upgrade Your Business Celebrity Mentor Edition Secretariat, and be invited to the awarding which will be held on March 22, 2013. It is on the said date when the winners will get the following:

1. Not For Sale (NFR) copy of Office 365 Home Premium License

2. Globe Tattoo Plan 999 (-year subscription)*

3. Mentoring session (lunch/dinner with chosen Celenbrity Mentor)

Windows 8 devices will be delivered when the units are available.

The Tips & Tricks session for the winner and up to ten (10) of his/her employees is to be scheduled after March 22, 2013. The Tips & Tricks session will be held in the Microsoft Philippines Inc. Office:

*Winners of the Upgrade Your Business – Celebrity Mentor Edition promo shall sign all the required service applications set by Globe Telecom, Inc. which include Broadband Master Service Agreement, Fair User Policy Acceptance (FUP) among others. SECTION 2 Other terms and conditions

a. Privacy. The information submitted by Customer when participating in the Promotion may include an employee’s phone numbers, email address, ID number and other personal information ("Personal Information"). Except as provided elsewhere in these Terms and Conditions, Microsoft will only use Personal Information in accordance with applicable data protection laws and regulations and Microsoft’s privacy policy referred to below, for the purposes of administering Customer’s participation in the Promotion. For more details on Microsoft's privacy policy, please see:

b. Modification of these Terms and Conditions, etc.. To the maximum extent permitted by applicable law, Microsoft may modify these Terms and Conditions and/or withdraw or terminate or extend the Promotion at any stage by 15 days’ notice posted at the Promotion Web Site, without any liability towards Customer or anyone.

c. No third party rights. A person who is not a party to this agreement shall not have any rights under the Contracts (Rights of Third Parties) Act (Cap. 53B) to enforce any of its terms. For the purposes of this paragraph, “person” shall mean a human being or a corporate entity (whether or not having a separate legal personality), as the case may be.

d. Applicable law and jurisdiction/dispute resolution.

  • If Customer’s principal place of business is in Australia, Bangladesh, Brunei, Indonesia, Malaysia, New Zealand, the Philippines, Singapore, Sri Lanka, Thailand and Vietnam, this Agreement is construed and controlled by the laws of Singapore.
    i. If Customer’s principal place of business is in Australia, Brunei, Malaysia, New Zealand or Singapore, Customer consents to the non-exclusive jurisdiction of the Singapore courts.
    ii. If Customer’s principal place of business is in Bangladesh, Indonesia, the Philippines, Sri Lanka, Thailand or Vietnam, any dispute arising out of or in connection with this Agreement, including any question regarding its existence, validity or termination, will be referred to and finally resolved by arbitration in Singapore under the Arbitration Rules of the Singapore International Arbitration Centre (“SIAC”), which rules are deemed to be incorporated by reference into this section. The arbitral tribunal will consist of one arbitrator to be appointed by the Chairman of SIAC. The language of the arbitration will be English. The decision of the arbitrator will be final, binding and incontestable and may be used as a basis for judgment on it in Bangladesh, Indonesia, the Philippines, Sri Lanka, Thailand or Vietnam (as appropriate), or elsewhere.
  • If Customer’s principal place of business is in Republic of Korea, this Agreement is construed and controlled by the laws of Republic of Korea. Customer consents to the exclusive original jurisdiction and venue in the Seoul Central District Court.

e. Relationship. The parties are independent contractors. This document does not create an employer-employee relationship, partnership, joint venture, or agency relationship and does not create a franchise. Neither Customer nor any of its representatives may make any representation, warranty or promise on Microsoft’s behalf.

f. Notices. Notices under these Terms and Conditions may be given either by e-mail or regular mail.

g. Attorneys’ fees. If either Microsoft or Customer employs attorneys to enforce any rights arising out of or relating to this document, the prevailing party will be entitled to recover its reasonable attorneys’ fees, costs and other expenses, including the costs and fees incurred on appeal.

h. Limitation of liability. To the maximum extent permitted by law, Microsoft and its parent company, affiliates, related corporations, subsidiaries, directors, officers, employees and agents accepts no responsibility whatsoever for any damage, loss, death or personal injury that may occur as a consequence of Customer ’s participation in the promotion and/or Customer ’s use of any Incentive mentioned above.

i. Assignment. This document is binding on Customer in the Territory. Customer is not entitled to assign this document. Microsoft may assign this document to an affiliate. If Microsoft assigns this document, it will notify Customer in writing.

j. Indemnity. To the maximum extent permitted by law, Customer undertakes to indemnify and keep Microsoft and its parent company, affiliates, related corporations, subsidiaries, commissioners, directors, officers, employees and agents harmless and indemnified against any loss, damage, claims, costs and expenses which may be incurred or suffered by any or each of them due to Customer ’s breach of any of these Terms and Conditions and/or arising from Customer ’s participation in the Promotion and/or Customer ’s use of any Incentive.

k. Microsoft’s decision final and binding. In the event of any dispute arising from the Promotion or relating to the interpretation of these Terms and Conditions, the decision of Microsoft on all matters pertaining to the Promotion shall be final and binding on all parties.

l. Waiver. A party’s delay or failure to exercise any right or remedy will not result in a waiver of that or any other right or remedy.

m. Severability. If any court of competent jurisdiction determines that any provision of this document is illegal, invalid or unenforceable, the remaining provisions will remain in full force and effect.
