MICROSOFT PRE-RELEASE SOFTWARE LICENSE TERMS

MICROSOFT WINDOWS SERVER 2003 R2

These license terms are an agreement between Microsoft Corporation (or based on where you live, one of its affiliates) and you. Please read them. They apply to the pre-release software named above, which includes the media on which you received it, if any. The terms also apply to Microsoft:

•	updates,
•	supplements,
•	internet-based services, and
•	support services

for this software, unless other terms accompany those items. If so, those terms apply.

By using the software, you accept these terms. If you do not accept them, do not use the software.

NOTE: THE TERMS OF THIS AGREEMENT SUPERSEDE THE TERMS OF ANY LICENSES PROVIDED IN THE SOFTWARE, EVEN IF ANY SUCH LICENSE REQUIRES YOUR ACCEPTANCE TO COMPLETE INSTALLATION OF THE SOFTWARE.

The software does not transmit to Microsoft any names or contact information from your computer system without your consent. As described below, this agreement operates as your consent to the transmission of certain standard computer information for Internet-based services.

USE RIGHTS. If you comply with this agreement, you have the following rights:
a. Installation and Use.

•	You may install, use and test the software on your premises until the commercial release of the software.
•	You may not use the software in a live operating environment.

FEEDBACK. You agree to give feedback about the software to Microsoft. Microsoft may freely use and commercialize your feedback in Microsoft software, services and documentation without payment to you. You also grant third parties, without charge, those patent rights necessary for their products, technologies and services to use or interface with any specific parts of a Microsoft software and service that incorporates the feedback. You will not give feedback in the form of computer code that is subject to license terms that require Microsoft to license its software to third parties because it incorporated your feedback into its software. These rights survive this agreement.

SCOPE OF LICENSE. The software is licensed, not sold. This agreement only gives you some rights to use the software. Microsoft reserves all other rights. Unless applicable law gives you more rights despite this limitation, you may use the software only as expressly permitted in this agreement. The software is engineered to allow you to use it in certain ways. You must comply with these technical limitations. For more information about them, see the software documentation. You may not:

•	publish the results of benchmark or performance testing of the software;
•	work around the technical limitations in the software;
•	reverse engineer, decompile or disassemble the software, except and only to the extent that applicable law expressly permits, despite this limitation;
•	make more copies of the software than specified in this agreement or allowed by applicable law, despite this limitation;
•	publish the software for others to copy;
•	rent, lease or lend the software;
•	transfer the software or this agreement to any third party; or
•	use the software for commercial software hosting services.

CONSENT TO TRANSMISSION OF INFORMATION FOR INTERNET-BASED SERVICES. Since the software is a prerelease version, some of its Internet-enabled features may be turned on by default. Those features collect information from your computer and send it to Microsoft. The default settings in this version of the software do not necessarily reflect how the features will be configured in the commercially released version. For more details about these features, what information is collected, and how it is used see http://go.microsoft.com/fwlink/38670. If you choose to install and use the software, you authorize the automatic collection of information from your computer by these features. Microsoft may use this information solely to improve our products or to provide customized services or technologies to you. Microsoft may disclose this information to others such as hardware and software vendors in a form that does not personally identify you (e.g. to fix application compatibility problems). This information will not be used for marketing purposes.

CONFIDENTIALITY.

Confidential Information. The software, including its user interface, features and documentation, is confidential and proprietary to Microsoft and its suppliers. The results of any benchmark or performance testing you conduct on the software are also confidential.

Use. Until commercial release of the software, you may not disclose confidential information to third parties. You may disclose confidential information to third parties only if you obtain prior written consent from Microsoft's Law and Corporate Affairs department. You may contact them at oseula@microsoft.com. You may disclose confidential information only to your employees and subcontractors who need to know such information. You must have written agreements with them that protect the confidential information at least as much as this agreement.

Survival. Your duty to protect confidential information survives this agreement.

Exclusions. You may disclose confidential information in response to a judicial or governmental order. You must first give written notice to Microsoft to allow it to seek a protective order or otherwise protect the information. Confidential information does not include information that you can document:

•	becomes publicly known through no wrongful act;
•	you received from a third party who did not breach confidentiality obligations to Microsoft or its suppliers; or
•	you developed independently.

TRANSFER. You may not transfer the software or this agreement to any third party.

EXPORT RESTRICTIONS. The software is subject to U.S. export laws and regulations. You must comply with all domestic and international export laws and regulations that apply to the software. These laws include restrictions on destinations, end users and end use. For additional information, see http://www.microsoft.com/exporting.

SUPPORT. Microsoft is not obligated to provide maintenance, technical support or updates for the software.

ENTIRE AGREEMENT. This agreement and any amendments to it, and the terms for supplements, updates, Internet-based services and support services are the entire agreement for the software and support services.

APPLICABLE LAW. The laws of Washington State in the United States govern this agreement, regardless of conflict of laws principles.

DISCLAIMER OF WARRANTY. The software is licensed "as-is" and with all faults. Microsoft gives no express warranties, guarantees or conditions. You may have additional consumer rights under your local laws which this agreement cannot change. To the extent permitted under your local laws, Microsoft excludes the implied warranties of merchantability, fitness for a particular purpose and non-infringement.

LIMITATIONS ON AND EXCLUSIONS OF DAMAGES. You can recover from Microsoft and its suppliers only direct damages up to US $5.00. You cannot recover any other damages, including consequential, lost profits, special, indirect or incidental damages. This limitation applies to:

•	any matter related to the software, services, content (including code) on third party Internet sites, or third party programs, and
•	claims for breach of contract, breach of warranty, guarantee or condition, strict liability, negligence, or other tort to the extent permitted by applicable law.

It also applies even if:

•	repair, replacement or a refund for the software does not fully compensate you for any losses, or
•	Microsoft knew or should have known about the possibility of the damages.

Some states do not allow the exclusions or limitation of incidental or consequential damages, so the above limitation or exclusion may not apply to you. They also may not apply to you because your country may not allow the exclusions or limitation of incidental, consequential or other damages.

Please note: As this software is distributed in Quebec, Canada, some of the clauses in this agreement are provided below in French.

RÉGLEMENTATION APPLICABLE. Les lois de l'état de Washington, États-Unis d'Amérique, régissent l'interprétation de ce contrat, nonobstant les conflits de principes juridiques.

EXONÉRATION DE GARANTIE. Le logiciel visé par une licence est offert « tel quel » avec tous ses défauts. Nous n'accordons aucune garantie ou condition expresse. Vous pouvez disposer de droits des consommateurs additionnels que vous conférent vos lois locales, que le présent contrat ne peut modifier. Dans la mesure permise par vos lois locales, les garanties implicites de qualité marchande, d'adaptation à un usage particulier et d'absence de contrefaçon sont exclues.

LIMITATION DES DOMMAGES-INTÉRÊTS ET EXCLUSION DE RESPONSABILITÉ POUR LES DOMMAGES. Vous pouvez obtenir de Microsoft et de ses fournisseurs une indemnisation en cas de dommages directs uniquement à hauteur de 5,00 $ US. Vous ne pouvez prétendre à aucune indemnisation pour les autres dommages, y compris les dommages spéciaux, indirects ou accessoires et pertes de bénéfices.

Cette limitation concerne :

toute affaire liée au logiciel, aux services ou au contenu (y compris le code) figurant sur des sites Internet tiers ou dans des programmes tiers et

les réclamations au titre de violation de contrat ou de garantie, ou au titre de responsabilité stricte, de négligence ou d'une autre faute dans la limite autorisée par la loi en vigueur.

Elle s'applique également, même si :

la réparation, le remplacement ou le remboursement du logiciel ne compense pas intégralement toute perte subie ou

Microsoft connaissait l'éventualité d'un tel dommage.

Certains états n'autorisent pas l'exclusion ou la limitation de responsabilité pour les dommages indirects ou accessoires, de sorte que la limitation ou l'exclusion ci-dessus peut ne pas vous être applicable. Elles peuvent également ne pas vous être applicables, car votre pays n'autorise pas l'exclusion ou la limitation de responsabilité pour les dommages indirects, accessoires ou de quelque nature que ce soit.
