Thanks for downloading Impression - hope that it makes your life a little easier. Please read our terms and conditions of use but for those of you who do need to dash, we’ve got only one major point to make: * Impression is free to use as long as its for your personal use only. Eg. Signing your own divorce papers, initialling your personal tax returns, updating your home insurance details etc. Contact us if you want a license for business use or to discuss our really slick enterprise integrations. Back to the serious stuff… This agreement sets forth the terms and conditions (the ‘Conditions’) of you/your (the ‘Client’) use of the Impression Application (the ‘Application'). By using the Application, you, the Client, agree to be bound by the terms of this agreement and the Impression Signature (Pty) Ltd (the ‘Company’) general terms and conditions. The Application permits Clients to sign PDF documents with a handwritten signature using their finger or device stylus. The signature image and signature biometrics are embedded into the PDF and secured with a digital certificate (the ‘Services’). 1. SYSTEM REQUIREMENTS 1.1 In order to use the Application, the Client is required to have a compatible handheld device, internet access, and the necessary minimum specifications ('Software Requirements'). 1.2 The Software Requirements are as follows: Language: English Memory Storage: 12MB or as specified or advertised elsewhere. GPS: Requires GPS capability which has been enabled to automatically capture accurate signing location Signature Biometrics: Requires stylus enabled devices such as the Samsung SPen ready devices The Client hereby acknowledges that these may change from time to time, without notice, and that the Company makes no representations as to the accuracy of the Software Requirements defined in this clause. 1.3 The Client may be required to obtain software and / or hardware updates or upgrades from time to time as may be necessary for the continued use of the Application. 1.4 The Client hereby acknowledges and agrees that such system requirements as specified under this clause 1 remain their responsibility. 2. SERVICE DELIVERY 2.1 The Client acknowledges that given the nature of such Services, the Company cannot guarantee that the Services will be uninterrupted or error free. 2.2 The Company warrants that it will provide the Services with reasonable care and skill. 2.3 The Client acknowledges that the Company gives no warranty or representation that: 2.3.1 The Services will meet the Client's requirements. 2.3.2 The Services will be provided on an uninterrupted timely, secure or error-free basis. 2.3.3 Any results obtained from use of the Services will be accurate, complete or current. 2.3.4 Signatures signed using the Application certificate can be considered to be Advanced Electronic Signatures (‘AES’) as defined by the ECT Act (Electronic Communications and Transactions Act 25 of 2002) 2.3.5 All generated PDF documents will be able to be rendered by the Application, given that different PDF standards might be followed. 2.3.6 Documents, contracts or agreements that have, by law or instruction, been specified to require an AES can be signed legally by the Application. 3. LICENSE FEES 3.1 Impression will not charge the Client for use of the Application given that: 3.1.1 The Client will only make use of the Application for personal use. 3.1.2 All parties and signatories of the document do not stand to benefit financially from the concluded document. 3.1.3 The document author does not mandate that the document be signed using the Application exclusively. 3.2 In all other cases, the Client or his/her employer will be responsible for purchasing a license for the Application 3.3 Additional services can be made available for purchase through the Application and can be chosen at the Client’s discretion. 3.4 The Client acknowledges that the Client's terms of agreement with their respective mobile network provider ('Mobile Provider') will continue to apply when using this application. As a result, the Client may be charged by the Mobile Provider for access to network connection services for the duration of the connection while accessing the Services, or any such third party charges as may arise. 3.3 The Client accepts responsibility for any such charges that arise under clause 3.2., 3.3. and 3.4. 3.4 If the Client is not the bill payer for the mobile phone or handheld device being used to access the Services, the Client will be assumed to have received permission from the bill payer for using the Application. 3.5 The Application and the license herein granted shall not be copied, shared, distributed, re-sold, offered for re-sale, transferred or sub-licensed in whole or in part except that you may make one copy for archive purposes only. 4. ADDITIONAL RESERVATION OF RIGHTS 4.1 The Company reserves the right to change, add, subtract or in any way alter these Conditions without the prior consent of the Client. 5. SEVERABILITY 5.1 THE ILLEGALITY, INVALIDITY OR UNENFORCEABILITY OF ANY PROVISION OF THESE CONDITIONS WILL NOT AFFECT THE LEGALITY, VALIDITY OR ENFORCEABILITY OF THE REMAINDER. IF ANY SUCH PROVISION IS FOUND BY ANY COURT OR COMPETENT AUTHORITY TO BE ILLEGAL, INVALID OR UNENFORCEABLE, THE PARTIES AGREE THAT THEY WILL SUBSTITUTE PROVISIONS IN A FORM AS SIMILAR TO THE OFFENDING PROVISIONS AS IS POSSIBLE WITHOUT THEREBY RENDERING THEM ILLEGAL, INVALID OR UNENFORCEABLE. 6. DEFINITIONS & CONFLICTS 6.1 Terms used but not defined herein shall have the meanings ascribed to them in the Company’s general terms of service. 6.2 In the event there is a conflict between the provisions of the General Terms of Service the provisions of the Conditions shall prevail. 7. CONSENT OF USE OF DATA 7.1 You agree that the Company may collect and use anonymous information gathered in any manner as part of the Services provided to you, if any, related to the Application. The Company may also use this information to provide notices to you which may be of use or interest to you. 8. GOVERNING LAW 8.1 These Conditions shall be governed by the law of the Republic of South Africa. You hereby irrevocably attorn and submit to the non-exclusive jurisdiction of the courts of the Republic of South Africa therefrom.
