WEBSITE TERMS OF USE
DISCLAIMERS AND LIMITATION OF LIABILITY
Applicable to All Online Scenario Calculators and Associated Web-Based Tools

1. INTERPRETATION AND DEFINITIONS
In these Terms, the following definitions shall apply:
- "Company", "We", "Us" or "Our" means Source Code Control Ltd, a company incorporated and registered in England and Wales with company number 09277137, whose registered office is at 153 Mortimer Street, Herne Bay, Kent, CT6 5HA.
- "Website" means the Company's website(s) and all associated web pages, sub-domains, and online environments through which the Calculators are made available.
- "Calculators" means any and all online scenario calculators, modelling tools, projection engines, planning aids, analytical tools, and any other interactive or automated web-based tools made available by the Company via the Website, whether provided free of charge or on a subscription or paid basis.
- "Output" means any result, figure, projection, estimate, recommendation, report, chart, table, or other content generated by or derived from use of any Calculator.
- "User", "You" or "Your" means any person or entity that accesses or uses the Website or any Calculator, whether or not they have registered an account.
- "These Terms" means these Website Terms of Use, Disclaimers and Limitation of Liability, as amended or updated by the Company from time to time.
- "Input Data" means any data, figures, parameters, assumptions, or other information entered by You into any Calculator.
2. ACCEPTANCE OF TERMS
2.1 BY ACCESSING THE WEBSITE OR USING ANY CALCULATOR, YOU CONFIRM THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS IN THEIR ENTIRETY. IF YOU DO NOT AGREE TO THESE TERMS, YOU MUST IMMEDIATELY CEASE ALL USE OF THE WEBSITE AND THE CALCULATORS.
2.2 If You access or use any Calculator on behalf of a company, organisation, or other legal entity, You represent and warrant that You have full authority to bind that entity to these Terms, and references to "You" shall include that entity.
2.3 The Company reserves the right to amend these Terms at any time without prior notice by publishing a revised version on the Website. The date of the most recent revision will be indicated at the head of these Terms. Your continued use of the Website or any Calculator following any such amendment constitutes Your acceptance of the revised Terms.
2.4 The Company further reserves the right to withdraw, modify, suspend, or discontinue access to the Website or any Calculator at any time and without liability.
3. NATURE AND PURPOSE OF THE CALCULATORS
3.1 The Calculators are provided solely as general-purpose scenario modelling and illustrative planning tools. They are designed to assist Users in exploring hypothetical scenarios based on User-defined inputs and pre-set assumptions. They do not constitute, and are not intended to constitute, any form of professional, financial, investment, legal, tax, regulatory, technical, or other specialist advice.
3.2 ALL OUTPUTS ARE ILLUSTRATIVE ESTIMATES ONLY. They are generated by mathematical models based on assumptions and algorithms determined by the Company. Outputs do not represent guarantees, predictions, forecasts, or warranties of any kind as to future performance, outcomes, or results.
3.3 The accuracy and relevance of any Output is entirely dependent upon the accuracy, completeness, and appropriateness of the Input Data supplied by You. The Company makes no representation that any Calculator is suitable for any particular purpose, scenario, or use case.
3.4 You are solely responsible for independently verifying all Outputs before relying upon them for any purpose. No Output should be acted upon without independent professional advice appropriate to Your specific circumstances.
4. DISCLAIMERS
4.1 As-Is Basis
THE WEBSITE AND ALL CALCULATORS ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT ANY REPRESENTATION, WARRANTY, OR CONDITION OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE COMPANY EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:
- any implied warranty of merchantability, satisfactory quality, or fitness for a particular purpose;
- any implied warranty of accuracy, completeness, reliability, or currency of any Output or any content on the Website;
- any warranty that the Website or any Calculator will be continuously available, uninterrupted, timely, secure, or error-free;
- any warranty that defects or errors in the Website or any Calculator will be corrected;
- any warranty that the Website or its servers are free of viruses, malicious code, or other harmful components;
- any warranty that any Output will be accurate, complete, or suitable for any purpose.
4.2 No Professional or Expert Advice
4.2.1 NOTHING PRODUCED BY OR CONTAINED WITHIN ANY CALCULATOR OR THE WEBSITE CONSTITUTES PROFESSIONAL ADVICE OF ANY KIND. In particular, and without limitation, no Output constitutes financial advice, investment advice, legal advice, tax advice, accounting advice, actuarial advice, engineering advice, or any other form of regulated or expert advice.
4.2.2 The Calculators are not regulated by the Financial Conduct Authority or any other regulatory body. They do not constitute a financial promotion within the meaning of the Financial Services and Markets Act 2000.
4.2.3 YOU SHOULD SEEK INDEPENDENT QUALIFIED PROFESSIONAL ADVICE BEFORE MAKING ANY DECISION OR TAKING ANY ACTION BASED UPON ANY OUTPUT. The Company shall have no liability whatsoever for any decision made or action taken in reliance upon any Output.
4.3 Assumptions and Model Limitations
4.3.1 All Calculators operate on the basis of assumptions, algorithms, and parameters determined by the Company at its sole discretion. Such assumptions may not reflect real-world conditions, market behaviour, regulatory requirements, or any other relevant factors applicable to Your circumstances.
4.3.2 Models and calculators of this nature are inherently subject to limitations. Outputs may be affected by, without limitation: changes in market conditions, inflation, interest rates, legislation, regulation, or other external variables that are not accounted for within the Calculator's model.
4.3.3 Past outputs or historical data incorporated within any Calculator are not indicative of future results.
4.4 Input Data
4.4.1 The Company accepts no responsibility for any inaccuracy, error, or omission in any Input Data supplied by You. You are solely responsible for ensuring that all Input Data is accurate, complete, current, and appropriate for the intended modelling scenario.
4.4.2 The Company shall have no liability for any Output that is erroneous, misleading, or otherwise unsuitable as a result of inaccurate or incomplete Input Data.
4.5 Availability and Technical Issues
The Company does not warrant that the Website or any Calculator will be available at all times or without interruption. Access to the Website and the Calculators may be suspended, restricted, or terminated at any time without notice for any reason, including for maintenance, updates, or technical failure. The Company shall have no liability for any loss arising from any interruption or unavailability.
4.6 Jurisdictional Compliance
The Website is accessible from multiple jurisdictions worldwide. The Company makes no representation that the Calculators or the Website are appropriate, lawful, or compliant with the laws or regulations of any jurisdiction outside England and Wales. It is Your sole responsibility to ensure that Your access to and use of the Website and the Calculators complies with all applicable laws and regulations in Your jurisdiction.
5. LIMITATION OF LIABILITY
5.1 Exclusion of Consequential and Other Loss
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE COMPANY SHALL NOT BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY LOSS OR DAMAGE ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF, OR INABILITY TO USE, THE WEBSITE OR ANY CALCULATOR, INCLUDING WITHOUT LIMITATION:
- any loss of profit, revenue, income, business, contracts, or anticipated savings;
- any loss of goodwill or reputation;
- any loss or corruption of data or information;
- any wasted expenditure or management time;
- any loss arising from reliance upon any Output;
- any loss arising from decisions made or actions taken on the basis of any Output;
- any indirect, special, incidental, punitive, or consequential loss or damage of any nature whatsoever;
whether arising in contract, tort (including negligence), breach of statutory duty, misrepresentation, or otherwise, and whether or not the Company has been advised of the possibility of such losses.
5.2 Cap on Aggregate Liability
5.2.1 Subject to Clause 5.3, the Company's total aggregate liability to You in respect of all claims arising out of or in connection with the Website, any Calculator, any Output, or these Terms, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, shall not exceed the greater of:
- the total fees actually paid by You to the Company in the twelve (12) calendar months immediately preceding the date on which the relevant claim arose; or
- one hundred pounds sterling (£100).
5.2.2 Where access to the Calculators is provided free of charge, the Company's total aggregate liability shall in all circumstances be limited to one hundred pounds sterling (£100).
5.3 Exceptions
Nothing in these Terms shall limit or exclude the Company's liability for:
- death or personal injury caused by the Company's negligence;
- fraud or fraudulent misrepresentation;
- any other liability that cannot lawfully be excluded or limited under applicable law.
5.4 Reasonableness of Limitations
You acknowledge that the limitations and exclusions of liability set out in this Clause 5 are reasonable and proportionate in all the circumstances, having regard in particular to the nature of the Calculators as illustrative tools provided at no cost or nominal cost, the dependence of Outputs upon User-supplied Input Data, and the inherent uncertainty of scenario modelling. You agree that the Company would not have made the Calculators available without such limitations.
6. USER OBLIGATIONS AND PROHIBITED USE
6.1 You agree to use the Website and the Calculators only for lawful purposes and in accordance with these Terms.
6.2 You shall not:
- use the Website or any Calculator in any way that violates applicable local, national, or international laws or regulations;
- use any Calculator in a manner that could mislead or deceive any third party, including by presenting Outputs as authoritative projections, professional advice, or verified forecasts;
- attempt to gain unauthorised access to any part of the Website, the servers on which the Website is hosted, or any database connected to the Website;
- introduce viruses, trojans, worms, logic bombs, or other technologically harmful material into the Website;
- reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code or underlying algorithms of any Calculator;
- copy, reproduce, republish, distribute, or commercially exploit any Calculator, Output, or content from the Website without the prior written consent of the Company;
- use any automated tools, bots, scrapers, or data-harvesting techniques to access or extract data from the Website or any Calculator.
7. INDEMNITY
You shall indemnify, defend, and hold harmless the Company and its officers, directors, employees, agents, and contractors from and against any and all claims, liabilities, losses, damages, costs, and expenses (including reasonable legal fees) arising out of or in connection with:
- Your breach of these Terms;
- Your violation of any applicable law or regulation;
- any reliance by You or any third party upon any Output;
- any claim by a third party arising from Your use or misuse of the Website or any Calculator;
- any inaccuracy in Input Data supplied by You.
8. INTELLECTUAL PROPERTY RIGHTS
8.1 The Website, the Calculators, and all content therein (including but not limited to software code, algorithms, models, text, graphics, logos, and design) are and shall remain the exclusive property of the Company or its licensors. All Intellectual Property Rights are reserved.
8.2 Nothing in these Terms grants You any rights in or to the Website, any Calculator, or any content therein, other than the limited right to access and use the same in accordance with these Terms.
8.3 Outputs generated by the Calculators are provided for Your personal or internal business use only. You shall not reproduce, distribute, or publish any Output for commercial purposes or represent any Output as the product of Your own independent analysis without clearly disclosing its automated and illustrative origins.
9. PRIVACY AND DATA
9.1 Any personal data collected or processed in connection with Your use of the Website or the Calculators will be handled in accordance with the Company's Privacy Policy and applicable data protection legislation including the UK General Data Protection Regulation and the Data Protection Act 2018.
9.2 Input Data entered into any Calculator may be processed by the Company's systems in order to generate Outputs. You are responsible for ensuring that any personal data included in Input Data is submitted in compliance with applicable data protection law.
9.3 The Company may collect anonymised, aggregated usage data relating to Your use of the Calculators for the purposes of improving its products and services. Such data shall not identify You individually.
10. THIRD-PARTY LINKS AND CONTENT
10.1 The Website may contain hyperlinks to third-party websites or resources. Such links are provided for Your convenience only. The Company has no control over the content of those websites and accepts no responsibility for them or for any loss or damage that may arise from Your use of them.
10.2 The inclusion of any link on the Website does not imply endorsement, approval, or affiliation by the Company with any third-party website or its operator.
11. GOVERNING LAW AND DISPUTE RESOLUTION
11.1 These Terms and any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with them or their subject matter or formation shall be governed by and construed in accordance with the law of England and Wales.
11.2 Each party irrevocably agrees that the courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with these Terms or their subject matter or formation.
11.3 Nothing in this Clause shall prevent the Company from seeking urgent injunctive or other equitable relief in any court of competent jurisdiction.
11.4 To the extent that You are a consumer resident in a jurisdiction that confers mandatory statutory protections or dispute resolution rights that cannot lawfully be excluded by contract, nothing in these Terms shall deprive You of such protections.
12. GENERAL PROVISIONS
Entire Agreement
These Terms constitute the entire agreement between You and the Company with respect to the subject matter hereof and supersede all prior representations, agreements, or understandings, whether written or oral.
Severability
If any provision of these Terms is found by a court of competent jurisdiction to be invalid, illegal, or unenforceable, such provision shall be deemed modified to the minimum extent necessary to make it valid, legal, and enforceable, and the remaining provisions shall continue in full force and effect.
Waiver
No failure or delay by the Company in exercising any right or remedy under these Terms shall operate as a waiver thereof, nor shall any single or partial exercise of any right or remedy preclude any further exercise thereof or the exercise of any other right or remedy.
Assignment
You may not assign, transfer, or sub-licence any rights or obligations under these Terms without the prior written consent of the Company. The Company may assign these Terms or any rights hereunder without restriction.
Force Majeure
The Company shall not be in breach of these Terms nor liable for any delay or failure to perform its obligations where such delay or failure results from events beyond its reasonable control, including without limitation acts of God, pandemics, war, terrorism, civil unrest, cyber-attack, power or internet infrastructure failure, or regulatory action.
No Partnership or Agency
Nothing in these Terms creates or shall be construed as creating a partnership, joint venture, agency, employment, or fiduciary relationship between You and the Company.
Third Party Rights
These Terms do not confer any rights on any third party pursuant to the Contracts (Rights of Third Parties) Act 1999, and no third party may enforce any provision of these Terms.

Any notice to the Company under these Terms shall be sent in writing to legal@sourcecodecontrol.co.uk. Notices to You will be sent to the email address associated with Your account, or by posting a notice on the Website.
