Theorem Solutions Visualization Experience - Free Trial Theorem Solutions Visualization Experience shows how you can visualize, prepare and present your CAD data for visualization in HoloLens. Taking direct input from all major CAD systems, Theorem's Visualization Experience prepares and optimizes the data for use in a Mixed Reality Environment and allows the user to navigate and interrogate the data using HoloLens gestures and voice controls. The In-App tutorial will show you how to make best use of the Experience, including how to load and manipulate CAD data, explode the assembly structure and interrogate individual assembly components. By downloading and registering to use the Visualization Experience, you will be provided with a free 90 day trial providing access to data hosted on Theorem's web based Experience Server.

EVALUATION LICENCE AGREEMENT NOTICE DO NOT USE THE ENCLOSED SOFTWARE (THE "LICENSED SOFTWARE") UNTIL YOU HAVE READ AND ACCEPTED ALL THE TERMS OF THIS LICENCE AND WISH TO LICENSE THE SOFTWARE FOR EVALUATION PURPOSES. YOUR USE OF THE SOFTWARE WILL BE DEEMED TO BE YOUR ACCEPTANCE OF THE FOLLOWING TERMS. ACCEPTANCE BINDS YOU TO THE TERMS OF THE LICENCE. WHEREAS:- The Licensee wishes to evaluate and Theorem has agreed to loan for a time limited period the Licensed Software (as hereinafter defined) solely for the purposes of evaluation. NOW IT IS HEREBY AGREED AS FOLLOWS: 1 DEFINITIONS In this Agreement, unless the context otherwise requires:- (a) "Designated Site" means the Licensee's premises where the Licensed Software is to be installed. (b) "Loan Period" means the period commencing on the Loan Start Date which is the date of delivery of the License Key for the Licensed Software to the Site, and lasting a maximum of 90 days. (c) "Licensed Software" means any software supplied by Theorem including operating system, utility and applications in machine-readable, object, printed or interpreted form including related documentation. (d) "Equipment" means the Licensee's computer equipment designated to run the Licensed Software. 2.0 GRANT OF LICENCE 2.1 Subject to the conditions herein and upon initial use of the Licensed Software on the Equipment, Theorem hereby grants to the Licensee a non-transferable, nonexclusive, limited licence to use the Licensed Software in machine-readable form on the Equipment at the Designated Site for the duration of the Loan Period. Title to all copies of the Licensed Software remains in Theorem or in third parties from whom Theorem has acquired licence rights. No licence is granted for use of the Licensed Software on other than the Equipment. No licence, right or interest in any trademark, tradename or service mark of Theorem or any third party from whom Theorem has acquired licence rights is granted under this Agreement. 2.2 This Agreement, the Licensed Software, and any other information provided by Theorem to the Licensee and any licences and rights granted hereunder, may not be sold, leased, assigned sublicensed or otherwise transferred, in whole or in part, by the Licensee. 2.3 The Licensee shall not disassemble, decompile, or reverse engineer the Licensed Software, except to the extent permitted by Law. 3.0 LICENSEE’S OBLIGATIONS 3.1 The licensee shall use the Licensed Software solely for testing and evaluation purposes at the Designated Site. All data, information and/or models and assemblies generated during the evaluation will only be used for testing and assessment purposes and under no circumstances shall Licensee use such data or information in a production environment or for production purposes. 3.2 The Licensee will use its best efforts to report the results of the evaluation to Theorem including, but not limited to success levels, operating problems, bugs or irregularities in the Licensed Software by submitting a report as reasonably directed by Theorem. 3.3 The Licensee shall not without Theorem's prior written consent change the location or the configuration of the Licensed Software nor make any modification or alteration to the Licensed Software nor repair or attempt to repair the Licensed Software. 3.4 The Licensee shall not remove any label or other identifying mark indicating that the Licensed Software is the property of Theorem. 3.5 The Licensed Software is entrusted to the Licensee personally and accordingly the Licensee may not sell, lease, rent or transfer, share, part or otherwise encumber the Licensed Software to a third party without the prior written consent of Theorem. 3.6 The Licensee shall take all reasonable steps to protect and safeguard the Licensed Software throughout the Loan Period. 3.7 The Licensee shall immediately give notice to Theorem of any loss or damage to the Licensed Software or part thereof. 3.8 At the end of the Loan Period or at Theorem's request, if sooner the Licensee hereby agrees to arrange for the destruction of the Licensed Software including all copies thereof at Licensee's expense, including issue of proof of destruction to Theorem. 4.0 PROPRIETARY INFORMATION See Privacy Policy 5.0 TITLE AND RISK 5.1 Title to the Licensed Software shall at all times remain vested in Theorem. 5.2 All risk of loss or damage to the Licensed Software shall pass to the Licensee upon delivery. 5.3 The Licensee shall be bound by the terms of this Agreement and shall indemnify Theorem against any costs, claims or liabilities howsoever arising by reason of any breach of the terms hereof by the Licensee or its employees, representative or agent. 6.0 DISCLAIMER OF WARRANTIES AND LIMITATION OF LIABILITY 6.1 The Licensed Software is licensed "AS IS". Theorem makes no warranties, express or implied, including the warranties of design, merchantability or fitness for a particular purpose, with respect to the Licensed Software. 6.2 The Licensee agrees that Theorem's liability shall be limited to the following extent:- (i) Theorem does not exclude liability for death or personal injury to the extent that the same arises directly from the negligence of Theorem or its employees: (ii) Subject to the provisions of sub-clause 6.2(i) above Theorem shall not be liable to the Licensee for any loss or damage whatsoever or howsoever caused arising directly or indirectly in connection with this Agreement, the Licensed Software or otherwise. (iii) Notwithstanding the generality of sub-clause 6.2(ii) above Theorem shall not be liable for any contingent or consequential loss or damage, including but not limited to, loss of profit, business revenue, and goodwill or anticipated savings. 7.0 GENERAL 7.1 The terms and conditions of this Agreement constitute the entire Agreement of the parties and the Licensee acknowledges that no representation has been made by or on behalf of Theorem in relation to the Licensed Software other than as specifically stated herein. 7.2 This Agreement shall be governed and construed in accordance with English law and the parties hereby expressly submit to the jurisdiction of the English Courts. 7.3 Any notice required to be given hereunder shall be sufficiently given if sent by email, recorded delivery or facsimile to the recipient at its registered office or last known address and shall be deemed to have been properly served at the time when in the ordinary course of transmission it would reach its destination. 7.4 The Licensee shall not assign this Agreement or any part hereof without the prior written consent of Theorem, which Theorem may in its absolute discretion withhold. 7.5 Privacy and Cookie policy. You acknowledge that Theorem’s privacy policy available at http://www.theorem.com/Legal-Notices is hereby incorporated into this Agreement, Theorem may collect, obtain, store and use information about your use of the software. 7.6 Legal Compliance. You agree to use the Software and the Materials in compliance with all Laws applicable to you. Without limiting the generality of the foregoing sentence, you must not use or otherwise export or re-export any Software, Documentation or Theorem supplied data except as authorized by Export Control Laws. "Export Control Laws" means all export and re-export control Laws applicable to you, as well as the United States' Export Administration Regulations (EAR) maintained by the US Department of Commerce, trade and economic sanctions maintained by the US Treasury Department's Office of Foreign Assets Control, and the International Traffic in Arms Regulations (ITAR) maintained by the US Department of State. 7.7 Force Majeure. Theorem shall not be responsible for any failure to perform any obligation or provide any service hereunder because of any (a) act of God, (b) war, riot or civil commotion, (c) governmental acts or directives, strikes, work stoppage, internet failures or equipment or facilities shortages, and/or (d) other similar cause beyond Theorem’s reasonable control.
